FEEM Webinar | Reshaping the scores: what happens when an ESG rating changes its scoring methodology?

Stakeholders’ attention towards the relationship between firms’ financial performance and their environmental, social and governance (ESG) performance is progressively increasing, leading analysts and operators to rely always more on ESG rating providers. However, as time passes by and firms and financial markets develop, significant changes occur to data providers as well. Recently, a key rater has rewritten its ESG ratings, generating important and retroactive implications for researchers and investment professionals. For this reason, Florian Berg, Kornelia Fabisik and Zacharias Sautner in the research article “Rewriting History Il: The (Un)Predictable Past of ESG Ratings” attempted to measure the impact of such changes on tests that connect ESG ratings to stock returns. The webinar aims to provide an in-depth commentary of the article, offering the stakeholders valuable insights to interpret ESG data and related research outcomes. Webinar 08/04/2021- ESG e Executive Compensation: Lo stato dell’arte e gli scenari possibili

Gli investitori più influenti e i policy maker stanno sottolineando in misura crescente i fattori ESG: segnali che sono stati raccolti dai Consigli di Amministrazione, dai loro Comitati per la Remunerazione e da quelli neonati per la Sostenibilità.  Le imprese hanno arricchito maggiormente la balance score card degli incentivi manageriali. Secondo Mercer Italia, nel 2019, il 69% delle FTSE Mib ha inserito indicatori ESG negli incentivi di breve termine e il 44% in quelli di lungo termine. Una contraddittoria tendenza confermata da Refinitiv, che negli ultimi tre anni le aziende, che costituiscono il 70% della capitalizzazione mondiale, si sono concentrate sui premi per gli obiettivi a breve termine. Rimane il problema della eterogeneità dei framework e di scarsa standardizzazione degli indicatori, così come molto resta da fare per integrare il piano di business con quello di sostenibilità. È da tenere in considerazione, anche il fatto che, a seguito dell’ondata di Covid 19, verrà posta maggiore attenzione al tema della sostenibilità e in particolare agli aspetti sociali. Alla luce di questi interrogativi Nedcommunity, tramite questo webinar, avvia una ricognizione sulle pratiche esistenti e sui nuovi modelli di remunerazione sostenibile.

A conversation with Edouard Fernandez-Bollo, ECB Representative in the Supervisory Board.

One key aspect in bank governance concerns the composition and functioning of the Board of Directors. The suitability of its members is assessed by supervisors through so-called “Fit and Proper” (FAP) assessment. Members of the board have not only to be suitable individually but also collectively, and cover specific knowledge, skills, and a broad range of experience to perform their responsibilities and duties. For that purpose, credit institutions have to put in place policies promoting diversity on the management body. Supervisors check diverse criteria: experience, reputation, conflicts of interest and independence of mind, time commitment, and collective suitability. Supervisory authorities lead a case-by-case and proportionate approach that takes into account national laws specificities, the distinctive features of banks and of each role within management bodies.

In this context, this online debate will ask:

  • With now a few years of experience, how effective is the FAP framework to ensure sound governance, adequate risk-taking, and accountability of the management body towards the Board? Where are we as regards the promotion of diversity? Has the implementation of FAP requirements improved across the SSM countries? What are the effects of an increased share of independent directors in banking governance?
  • Going forward,
    • Is there a need to scale FAP up in order to improve further the selection of board members? If so, what should be the main criteria (e.g., reputation, competence, diversity) that should be taken into account?
    • Is there a need for better harmonisation across the SSM? If yes, on which specific areas?

The SSM seeks to engage in a conversation with non-executive directors to better gauge their experience and main challenges.
